Introduction
These Terms and Conditions (this "Agreement") constitute a legally binding contract between you and Cede Technologies Inc., operating as Voye ("Voye", "we", "us", or "our"). They govern your access to and use of the Voye mobile application, website, and all related financial services. Please read this Agreement carefully. By registering for or using any Voye product or service, you confirm that you have read, understood, and agreed to be bound by this Agreement in its entirety.
If you do not agree with any part of this Agreement, you must not access or use Voye's services.
About Voye and This Agreement
Who We Are
Voye is a brand owned and operated by Cede Technologies Inc., a company incorporated under the laws of Canada, with its registered office at 15013 1st St NW, Calgary, Alberta, T3P 1B6, Canada.
Cede Technologies Inc. operates as a licensed financial services business across multiple jurisdictions:
• Canada — Registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), Registration Number M24502598. Voye is authorised to provide foreign exchange and money transfer services across Canada.
• Nigeria — Licensed by the Central Bank of Nigeria (CBN) as an International Money Transfer Operator (IMTO). This licence authorises Voye to facilitate inbound international remittances into Nigeria.
• United Kingdom — Voye's UK payment services are provided through a partnership with Clear Junction Limited, an authorised payment institution regulated by the UK Financial Conduct Authority (FCA), FCA Reference Number 900684. Clear Junction Limited is fully responsible for the regulatory and compliance obligations associated with UK payment services provided through Voye.
• Kenya — Voye's KES wallet and payment services in Kenya are facilitated through a partnership with Choice Microfinance Bank, licensed and regulated by the Central Bank of Kenya (CBK).
Voye is not a bank. Voye is a licensed financial technology company that facilitates money transfers and operates multi-currency digital wallets through its own licences and regulated partner institutions.
In addition to facilitating CAD wallet services, Cede Technologies Inc. acts as the executing entity for all outbound international transfers initiated by users sending money from Nigeria, in its capacity as a FINTRAC-registered MSB.
Our Financial Partners
To deliver its services, Voye works with regulated financial institutions in each jurisdiction. These partners hold, safeguard, or process funds on your behalf:
• Canada (CAD Wallet Services) — Blaaiz Inc.: Blaaiz is Voye's Canadian banking and settlement partner. Blaaiz facilitates the holding and movement of Canadian Dollar (CAD) funds on behalf of Voye customers. Funds held in your CAD wallet are processed through Blaaiz's regulated infrastructure in accordance with applicable Canadian financial regulations.
• United Kingdom (GBP Wallet Services) — Clear Junction Limited: Clear Junction provides payment infrastructure for Voye's GBP wallet and remittance services in the United Kingdom. Clear Junction is authorised and regulated by the FCA. All GBP funds associated with your Voye account are held and processed by Clear Junction in compliance with the UK Payment Services Regulations 2017 and the Electronic Money Regulations 2011.
• Nigeria (NGN Wallet Services and NGN Payouts) — VFD Microfinance Bank Limited: VFD Microfinance Bank is Voye's Nigerian banking partner. VFD serves two functions within the Voye platform: first, it holds and operates the NGN wallet balances of Voye customers in Nigeria in accordance with its licence from the Central Bank of Nigeria; second, it facilitates the disbursement of NGN-denominated payouts to Recipients in Nigeria when you initiate an international transfer from your CAD or GBP wallet. VFD is a licensed microfinance bank regulated by the Central Bank of Nigeria.
• Kenya (KES Wallet Services and KES Payouts) — Choice Microfinance Bank: Choice Microfinance Bank is Voye's Kenyan banking partner. Choice Microfinance Bank serves two functions within the Voye platform: it holds and operates the KES wallet balances of Voye customers in Kenya in accordance with its licence from the Central Bank of Kenya, and it facilitates the disbursement of KES-denominated payouts to Recipients in Kenya when a user initiates an international transfer to a Kenyan recipient. Choice Microfinance Bank is licensed and regulated by the Central Bank of Kenya (CBK).
Your funds are held by Voye's regulated partners in accounts that are kept separate from Voye's own operational funds. This structure is designed to protect your money.

Definitions
The following words carry the meanings set out below wherever they appear in this Agreement:
• "Account" — the Voye account you register for, through which you access the Voye app and Services.
• "Agreement" — these Terms and Conditions and the Privacy Policy, together forming the complete legal contract between you and Voye.
• "Available Balance" — the total funds held in your Voye wallet(s) that are available to send, convert, or withdraw at any given time.
• "Business Day" — Monday to Friday, excluding public holidays in Canada, Nigeria, Kenya, and the United Kingdom, as applicable to the relevant transaction or service.
• "CAD Wallet" — a digital wallet denominated in Canadian Dollars, serviced through Blaaiz Inc.
• "GBP Wallet" — a digital wallet denominated in British Pounds Sterling, serviced through Clear Junction Limited.
• "NGN Wallet" — a digital wallet denominated in Nigerian Naira, held and operated through VFD Microfinance Bank Limited, Voye's licensed Nigerian banking partner.
• "KES Wallet" — a digital wallet denominated in Kenyan Shillings, held and operated through Choice Bank, Voye's licensed Kenyan banking partner.
• "Electronic Money" or "e-money" — a digital store of monetary value held in your Voye wallet. E-money is not a bank deposit, and does not earn interest, and is not covered by deposit protection schemes.
• "KYC" — Know Your Customer verification, the identity and compliance checks Voye is legally required to conduct before activating your Account and on an ongoing basis.
• "Nominated Account" — a bank account held in your own name, in a country where Voye services are available, that you designate for funding your wallet or receiving withdrawals.
• "Recipient" — the individual or account designated to receive a money transfer from your Voye wallet.
• "Remittance" or "Transfer" — an instruction you give Voye to send money from your wallet to a Recipient's account in a supported destination.
• "Services" — all products, features, tools, and functionality provided by Voye through the app or website, including multi-currency wallets, remittances, and currency conversion.
• "P2P Community" — the peer-to-peer currency exchange feature within the Voye app that allows eligible users to post, browse, and execute direct currency exchange transactions with other eligible Voye users, using funds held within their Voye wallets.
• "P2P Transaction" — a currency exchange transaction executed between two Voye users through the P2P Community, where one user submits a Convert Order specifying the currency pair they wish to exchange, the amount, and their preferred exchange rate, and another user submits a matching Buy Request to complete the exchange.
• "P2P Rate" — the exchange rate posted by a user on the P2P Community, which may differ from Voye's own platform exchange rate.
• "Speculative Activity" — the use of the P2P Community or any Voye wallet feature for the purpose of profiting from exchange rate movements, including repeatedly converting between currencies without a genuine underlying payment or transfer purpose, accumulating foreign currency positions beyond personal or business needs, or any pattern of behaviour consistent with currency trading or arbitrage rather than legitimate remittance or wallet use.
• "Tier" — the account classification assigned to a user based on their verification level and transaction history, which determines the limits applicable to their P2P Marketplace activity.
• "Soft Hold" — a temporary restriction placed by Voye on funds involved in a P2P transaction, during which the funds are reserved within the order creator's wallet and cannot be withdrawn, converted, or transferred until the transaction is confirmed by both parties or cancelled and reversed.
• "Transaction" — any instruction you give Voye to move, convert, or transfer money, including top-ups, remittances, and withdrawals.
• "We / Us / Our / Voye" — Cede Technologies Inc., operating as Voye, and its licensed partners and affiliates, where applicable.
• "You / Your / User" — the individual who has registered for and uses a Voye Account.
Eligibility and Onboarding
Who Can Use Voye
To open and use a Voye Account, you must meet all of the following requirements at the time of registration and on a continuing basis:
• You must be at least 18 years of age.
• You must be a resident of Canada, the United Kingdom, Kenya or Nigeria.
• You must have the legal capacity to enter into a binding contract under the laws of your country of residence.
• You must not be subject to any sanctions, watchlist designations, or legal restrictions that would prohibit you from using financial services.
• You must not have had a previous Voye Account terminated for breach of this Agreement.
• You must provide accurate, complete, and current information during registration and keep that information up to date.
Voye's services are currently available to residents of Canada, Nigeria, Kenya and the United Kingdom only. Residents of other countries are not eligible to register for or use Voye at this time.
Identity Verification (KYC)
As a regulated financial services provider, Voye is legally required to verify the identity of all customers before activating their Account and periodically thereafter. This is a mandatory legal obligation, not a discretionary process.
During onboarding and at any time thereafter, we may ask you to provide:
• Full legal name and date of birth.
• Residential address and proof of address (e.g. utility bill, bank statement).
• A valid government-issued photo identification document (e.g. passport, national identity card, or driver's licence).
• Source of funds information, including your occupation and income details.
• Any other documentation or information required to satisfy our KYC, Anti-Money Laundering (AML), or Counter-Terrorism Financing (CTF) obligations.
Voye uses third-party identity verification services to validate the information you provide. By registering, you consent to your information being shared with these services for verification purposes.
If you fail to provide the required information, or if we are unable to verify your identity satisfactorily, we reserve the right to decline your application, restrict your Account, or suspend Services without liability.
One Account Per Person
Each individual may hold only one Voye Account at any time. The following are prohibited:
• Registering more than one Account using the same or different personal details.
• Using another person's Account, or allowing another person to use your Account.
• Creating an Account on behalf of a third party without their full knowledge and consent.
If Voye detects multiple Accounts linked to the same individual, we reserve the right to merge, suspend, or permanently close duplicate Accounts. Users found to have created multiple Accounts to circumvent limits or verification requirements may be permanently banned from the platform.
Description of Services
Multi-Currency Digital Wallets
Voye provides digital wallets in Canadian Dollars (CAD), Kenyan Shillings (KES), British Pounds Sterling (GBP), and Nigerian Naira (NGN). These wallets allow you to:
• Hold e-money in CAD, KES, GBP, and NGN across your respective wallets.
• Fund your CAD, KES or GBP wallet from your Nominated Account, or fund your NGN wallet via local Nigerian payment methods made available in the app from time to time.
• Convert funds between your CAD, KES, GBP, and NGN wallets instantly at the exchange rate displayed in the app at the time of conversion.
• View your wallet balances across all currencies and your full transaction history at any time through the app.
• Send money internationally from your CAD or GBP wallet to Recipients in Nigeria and Kenya.
• Send money from your NGN wallet to Recipients within Nigeria where supported.
• Send money from your KES wallet to Recipients within Kenya where supported.
Your Voye wallet is a digital e-money account, not a bank account. Funds held in your wallet do not earn interest and are not covered by the Canada Deposit Insurance Corporation (CDIC), the UK Financial Services Compensation Scheme (FSCS), or the Nigerian Deposit Insurance Corporation (NDIC).
How Wallets Differ from Bank Accounts
It is important that you understand the following distinctions:
• Funds in your Voye wallet are not held in a bank account in your name.
• Your wallet balance represents e-money, a digital equivalent of the funds you have loaded.
• Voye does not invest or lend your funds to third parties.
• Your funds are held in safeguarded accounts by Voye's regulated partners (Blaaiz for CAD; Clear Junction for GBP), separate from Voye's own operational funds.
• In the event that Voye or one of its partners encounters financial difficulty, safeguarded funds are protected from creditors and should be returned to you in full.
Supported Transfer Corridors
Voye currently supports the following international money transfer corridors:
• Canada → Nigeria: Send CAD from your Voye wallet to a Nigerian bank account.
• United Kingdom → Nigeria: Send GBP from your Voye wallet to a Nigerian bank account.
• Canada → Kenya: Send CAD from your Voye wallet to a Kenyan bank account.
• United Kingdom → Kenya: Send GBP from your Voye wallet to a Kenyan bank account.
Supported corridors are subject to change. Voye may add or discontinue corridors at any time, subject to regulatory approvals and partner availability. The most current list of supported corridors is always available in the app.
Currency Conversion
When you send money to Nigeria, your CAD or GBP is converted to NGN or KES at the exchange rate displayed in the app at the time you authorise the transaction. Voye also allows you to convert funds directly between your wallets (CAD, GBP, KES and NGN) without initiating a transfer to a Recipient. The exchange rate for any conversion will be displayed in the app before you confirm. Once confirmed, a conversion cannot be reversed.
Please note:
• The exchange rate is locked in at the point of authorisation. It will not change once you confirm the transaction.
• If the transaction fails for any reason after authorisation, your funds will be returned to your wallet in the original currency.
• Voye is not responsible for exchange rate fluctuations between the time you initiate and the time you confirm a transaction.
Funding Your Wallet
You may add funds to your Voye wallet by:
• Bank transfer from your Nominated Account (in CAD, KES, NGN or GBP, as applicable).
• Any other funding method Voye makes available in the app from time to time.
Funding from your own Nominated Account is the primary method of topping up your wallet. However, you may also receive funds into your wallet from another person such as a friend, family member, or employer etc provided the source of funds is legitimate and not connected to any fraudulent or criminal activity. Voye reserves the right to request information about the source of any inbound funds as part of its AML and compliance obligations. Funds will typically be credited to your wallet on the same Business Day they are received, subject to your bank's processing times and Voye's compliance checks.
Peer-to-Peer (P2P) Currency Exchange
Voye operates a P2P Community that allows eligible users to exchange currencies directly with other Voye users using funds held within their Voye wallets. The P2P Community is distinct from Voye's standard platform exchange rate, users set their own rates and transact directly with one another.
Eligibility
The P2P Community is available exclusively to residents of Canada and the United Kingdom. Nigerian residents are not eligible to access or use the P2P Community at this time. Voye reserves the right to expand or restrict P2P eligibility at any time, subject to regulatory requirements and platform policy.
Supported Currency Pairs
The following currency pairs are currently available on the P2P Community:
• CAD ↔ NGN
• CAD ↔ KES
• GBP ↔ NGN
• GBP ↔ KES
How P2P Works
• A user wishing to convert currency submits an Offer on the P2P community, specifying the currency they wish to convert from, the currency they wish to convert to, the amount, and their preferred exchange rate.
• A user wishing to receive currency submits a Request on the P2P Marketplace, specifying the currency they wish to receive and the amount they require.
• When a Request matches an Offer, both parties are notified and given the opportunity to proceed.
• Once both parties agree to proceed, Voye places a Transaction Hold on the Order Creator’s funds. The funds are temporarily reserved within the Order Creator’s wallet and cannot be withdrawn, converted, or transferred until the transaction is confirmed by both parties or cancelled and reversed.
• Upon confirmation by both parties that the transaction is complete and accurate, Voye releases the Transaction Hold and the funds are transferred between the respective wallets.
• If either party does not confirm within the time period specified in the app, or if the transaction is disputed, Voye will intervene in accordance with Section 4.6 (Disputes) below.
P2P Rates
Exchange rates on the P2P Marketplace are set by users within a range determined by Voye. Voye's standard platform rate serves as the benchmark, and users may not post an Offer or Request at a rate that falls outside the permitted range above or below that benchmark. This guardrail exists to protect all users and maintain the integrity of the marketplace.
Voye does not guarantee that any P2P rate offered by a user represents fair market value or is comparable to Voye's own rates.
Users are solely responsible for evaluating any P2P rate before agreeing to a transaction.
Voye reserves the right to remove any offer that it determines, in its sole discretion, to be unreasonable, manipulative, or inconsistent with platform integrity.
Transaction Tiers
P2P Marketplace activity is subject to conversion limits based on your account verification level. Voye reserves the right to adjust conversion limits at any time in accordance with its AML and compliance obligations.
Prohibition on Speculative Activity
The P2P Marketplace is provided solely to facilitate legitimate currency exchange for personal remittance, wallet funding, and genuine payment purposes. The following are strictly prohibited:
• Using the P2P Marketplace to speculate on exchange rate movements, that is, buying or selling currency with the primary intention of profiting from fluctuations in exchange rates rather than for a genuine underlying payment or transfer purpose.
• Repeatedly converting between currencies in a pattern that is consistent with currency trading or arbitrage rather than legitimate use.
• Accumulating foreign currency positions on the platform beyond what is reasonably required for personal or business remittance needs.
• Posting artificially high or low rates with the intention of manipulating the P2P Marketplace or exploiting other users.
• Using the P2P Marketplace as a mechanism for moving funds without a genuine underlying transaction purpose.
Voye monitors P2P activity continuously. Users found to be engaging in Speculative Activity will be subject to the following progressive enforcement actions, at Voye's sole discretion:
• First instance — a formal warning issued to the user, with a requirement to provide an explanation of the purpose of their transactions.
• Second instance — temporary suspension of P2P Marketplace access pending a compliance review.
• Third instance or serious breach — permanent revocation of P2P Marketplace access and, where warranted, suspension or closure of the user's Account in accordance with Section 8.2.
Voye's determination of what constitutes Speculative Activity is final, subject to the complaints process set out in Section 9.
Important Notice: The Voye P2P Marketplace is not an investment platform, a currency trading platform, or a foreign exchange brokerage. It is not regulated as such, and users should not use it as a substitute for any regulated investment or trading product. Voye does not provide financial advice in connection with P2P transactions. Users engage in P2P transactions entirely at their own risk as to the rates obtained.
P2P Disputes
If a dispute arises between two users in connection with a P2P transaction:
• Either party may raise a dispute through the app or by contacting info@voyeapp.com, providing their transaction reference number and a description of the issue.
• Voye will investigate the dispute and maintain the Escrow Hold on the relevant funds until the matter is resolved.
• Voye's decision on any P2P dispute is final and binding on both parties, subject to the complaints escalation process in Section 9.
• Voye will not be liable for any loss arising from a P2P transaction where both parties confirmed the transaction accurately and in accordance with the terms of their agreement.
P2P and AML Obligations
All P2P transactions are subject to Voye's AML and CTF monitoring obligations. Voye may place a hold on, delay, or refuse any P2P transaction that triggers a compliance alert, without notice to either party where legally required. Users may be asked to provide information about the purpose of a P2P transaction as part of Voye's ongoing compliance obligations.
Transactions and Payments
Authorising a Transaction
When you submit a transaction through the Voye app, you are giving Voye a legally binding instruction to execute that transaction on your behalf. Before you confirm any transaction, the app will display:
• The amount you are sending and the currency.
• The amount your Recipient will receive and in which currency.
• The applicable exchange rate, where a currency conversion is involved.
• Any applicable fees or charges.
• The estimated delivery time.
You must review all of this information carefully before confirming. Once you tap to confirm, the transaction is considered received and authorised by Voye and may begin processing immediately.
Funding Your Wallet
You may add funds to your Voye wallet in the following ways:
• From your own Nominated Account — by bank transfer in CAD or GBP, as applicable to your wallet currency.
• From another person — a friend, family member, or employer may transfer funds directly into your Voye wallet, provided the funds are from a legitimate source and are not connected to any fraudulent, criminal, or suspicious activity.
• Via local payment methods — NGN/KES wallet funding is available through payment methods supported in the app.
• Any other funding method Voye makes available in the app from time to time.
Voye reserves the right to request information about the source of any funds as part of its AML and compliance obligations. We may place a hold on funds pending satisfactory verification of their source.
Funds will typically be credited to your wallet on the same Business Day they are received, subject to your sending bank's processing times and Voye's compliance checks.
Withdrawals
All withdrawals from your Voye wallet must be made to a Nominated Account held in your own name. Voye does not process withdrawals to accounts belonging to third parties. This requirement exists to protect you and to comply with Voye's AML obligations across all applicable jurisdictions.
To withdraw funds:
• Navigate to the withdrawal section of the app and select the wallet you wish to withdraw from.
• Confirm your Nominated Account details. Ensure these are accurate before submitting. Voye cannot be held liable for funds sent to an incorrectly specified account.
• Withdrawals will typically be processed within 1 to 3 Business Days, subject to compliance checks and your bank's processing times.
Voye reserves the right to request identity verification or supporting documentation before processing a withdrawal, particularly for large or unusual amounts.
Currency Conversion
Voye allows you to convert funds between your CAD, GBP, KES, and NGN wallets directly within the app, without needing to initiate a transfer to a Recipient. When converting between wallets:
• The exchange rate applicable to your conversion will be displayed in the app before you confirm.
• The rate is locked in at the point of confirmation/authorization and will not change once you proceed.
• A conversion between wallets is treated as a Transaction for the purposes of this Agreement and cannot be reversed once confirmed.
• If a conversion fails for any technical reason after you have confirmed, your funds will be returned to the originating wallet in the original currency.
Voye may include a margin in its exchange rates. Where applicable, this will be disclosed to you clearly in the app before you confirm.
Transaction Limits
Voye applies transaction limits to all Accounts in compliance with its regulatory obligations under FINTRAC, the CBN, and applicable UK and Kenyan payment regulations. These limits may vary by:
• Your user account threshold.
• The transfer corridor or wallet currency.
• Regulatory requirements in Canada, Nigeria, Kenya or the United Kingdom.
• The nature of the transaction — remittance, conversion, or withdrawal.
Current transaction limits are available in the app.
Fees and Charges
All applicable fees will be disclosed to you clearly in the app before you confirm any transaction. Voye will never deduct fees from a transaction without your prior knowledge and consent.
Please note that Recipient banks in Nigeria may apply their own receiving charges upon crediting the Recipient's account. These are third-party charges that Voye has no control over and are not included in the fees disclosed in the app.
Payment Timelines
Voye aims to process all transactions as quickly as possible. Indicative timelines are as follows:
• Canada → Nigeria: Processed instantly upon authorisation. In exceptional cases, delivery may take up to 1 Business Day, subject to compliance checks and processing times.
• UK → Nigeria: Processed instantly upon authorisation. In exceptional cases, delivery may take up to 1 Business Day, subject to compliance checks and processing times.
• Canada/UK → Kenya: Processed instantly upon authorisation. In exceptional cases, delivery may take up to 1 Business Day, subject to compliance checks and Cede Technologies Inc processing times.
• Wallet-to-wallet conversions: Processed and delivered instantly upon confirmation.
• Withdrawals to Nominated Account: 1 to 3 Business Days, subject to your bank's processing times.
Actual delivery times may be affected by factors outside Voye's reasonable control, including delays by correspondent banks, public holidays, regulatory holds, or technical issues at VFD or the Recipient's bank. Voye will notify you of any known delays.
Refused or Delayed Transactions
Voye may refuse, delay, or place a hold on any transaction in the following circumstances:
• We reasonably suspect fraud, money laundering, or other financial crime.
• The transaction would cause Voye to breach any applicable law, regulation, or sanctions requirement.
• Your Account has insufficient Available Balance to cover the transaction and all applicable fees.
• You have provided incomplete or inaccurate Recipient details.
• We are required to conduct additional compliance or identity verification checks.
• Your Account has been suspended or restricted.
• Technical issues prevent processing.
• Circumstances beyond our reasonable control.
Where permitted by law, Voye will notify you of a refused transaction and, where possible, the reason for the refusal. We may not be able to disclose the reason if doing so would compromise a regulatory or legal obligation.
Incorrect or Failed Transactions
If a transaction is not executed correctly due to an error on Voye's part, we will investigate and take corrective action promptly. To report an error:
• Contact us at info@voyeapp.com as soon as possible.
• Provide your full name, Account details, transaction reference number, the amount, and a clear description of the error.
We will acknowledge your report within 2 Business Days and aim to resolve it within 15 Business Days.
Voye will not be liable for losses arising from errors caused by incorrect information provided by you, including incorrect Recipient account details or Nominated Account details. You are solely responsible for ensuring the accuracy of all transaction details before confirming.
Your Account and Responsibilities
Account Security
You are fully responsible for maintaining the confidentiality and security of your Account credentials, including your login details, password, and any PIN or authentication method associated with your Account. You must:
• Never share your password, PIN, or login credentials with any other person, including anyone claiming to represent Voye.
• Use a strong, unique password for your Voye Account.
• Ensure your device is secure before accessing the Voye app.
• Log out of the app when you are not using it, particularly on shared devices.
• Contact us immediately at info@voyeapp.com if you suspect your Account has been accessed without your authorisation.
Voye will never ask for your password or PIN by email, SMS, or phone. If you receive such a request, do not respond and report it to us immediately.
Unauthorised Transactions
If you believe a transaction has been made without your authorisation, you must notify Voye immediately at info@voyeapp.com. In your notification, please include:
• Your full name and Account details.
• The transaction reference number, amount, date, and destination.
• Why you believe the transaction was not authorised.
Voye will investigate all reports of unauthorised transactions and respond within 10 Business Days. If we determine the transaction was genuinely unauthorised and you are not at fault, we will take all available steps to recover the funds and, where possible, credit your Account.
Voye will not be liable for losses arising from unauthorised transactions in the following circumstances:
• You shared your login credentials or PIN with another person, intentionally or negligently.
• You failed to notify Voye promptly, and additional losses occurred as a result.
• You authorised the transaction yourself, even if you were deceived into doing so by a third party (e.g. a scammer). In such cases, you should report the fraud to local law enforcement and Voye will cooperate with any investigation.
Accuracy of Information
You are responsible for ensuring that all information you provide to Voye is accurate, complete, and up to date. This includes your personal details, identity documents, Nominated Account details, and Recipient information. You must notify Voye promptly at info@voyeapp.com if any of your information changes.
Voye will not be liable for losses arising from incorrect or outdated information provided by you. If a transaction is sent to the wrong Recipient due to incorrect details provided by you, Voye will make reasonable efforts to assist in recovery but cannot guarantee a successful recall.
Lawful Use Only
You may only use Voye's Services for lawful purposes. The following are strictly prohibited:
• Using Voye to launder money, finance terrorism, or evade sanctions.
• Sending money to individuals or entities on any government or regulatory sanctions list.
• Using Voye in connection with fraud, deception, or any criminal activity.
• Using Voye to conduct transactions on behalf of a third party without their full consent and knowledge.
• Using automated tools, bots, or scripts to access or interact with the Voye platform.
• Attempting to reverse-engineer, tamper with, or otherwise interfere with the Voye platform.
• Using Voye for any commercial business purpose unless expressly authorised by Voye in writing.
• Using the P2P Marketplace for Speculative Activity, as defined in Section 2 and further described in Section 4.6.
• Engaging in any pattern of P2P activity that Voye reasonably determines to be inconsistent with genuine remittance or payment purposes.
• Posting P2P offers at rates that are designed to manipulate the marketplace, exploit other users, or circumvent Voye's standard platform rates in a manner inconsistent with legitimate use.
• Using the P2P Marketplace to conduct transactions on behalf of a third party who is not themselves an eligible Voye user.
Voye cooperates fully with law enforcement agencies, regulatory bodies, and financial intelligence units in all applicable jurisdictions, including FINTRAC, the CBN Financial Intelligence Unit (FIU), and the UK National Crime Agency (NCA). We are legally required to report suspicious activity and may do so without notifying you.
Safeguarding of Your Funds
How Your Funds Are Protected
Voye is required by applicable regulations to safeguard customer funds. This means that the money you load into your Voye wallet is:
• Held separately from Voye's own operational funds in designated safeguarding accounts at Voye's regulated banking partners.
• Not used by Voye for its own business expenses, investments, or obligations.
• Protected in the event that Voye encounters financial difficulties — safeguarded funds are ring-fenced from the claims of Voye's creditors.
• CAD funds — held in safeguarding accounts at Blaaiz Inc. in accordance with Canadian MSB regulations and FINTRAC requirements.
• GBP funds — held in safeguarding accounts at Clear Junction Limited in accordance with the UK Electronic Money Regulations 2011 and FCA requirements.
• NGN funds — held in safeguarding accounts at VFD Microfinance Bank Limited in accordance with the licensing requirements of the Central Bank of Nigeria (CBN) and applicable Nigerian financial regulations.
• KES funds — held in safeguarding accounts at Choice Microfinance Bank in accordance with the licensing requirements of the Central Bank of Kenya (CBK), and applicable Kenyan financial regulations.
While your funds are safeguarded, they are not covered by the CDIC, FSCS, or NDIC deposit protection schemes. Safeguarding is a regulatory protection mechanism that operates differently from deposit insurance.
Mistaken Payments Into Your Account
If Voye reasonably believes that funds have been credited to your Account in error, we may:
• Contact you to notify you of the suspected error.
• Place a temporary hold on the relevant amount pending investigation.
• Deduct the relevant amount from your Available Balance and return it to the sender or their financial institution, where confirmed as an error.
You must notify Voye immediately if you receive funds you did not expect or are not entitled to. Retaining funds you know to be misdirected may constitute a criminal offence.
Account Closure and Suspension
Closing Your Account
You may close or deactivate your Voye Account at any time. Voye provides two options depending on your intention:
Deactivation — if you wish to temporarily stop using Voye without permanently closing your Account, you may deactivate your Account directly through the settings section of the Voye app. A deactivated Account can be reactivated by logging back in and completing any required verification. Your transaction history and wallet balances are preserved during deactivation.
Permanent Closure — if you wish to permanently close your Account, you may do so by contacting us at info@voyeapp.com or through in-app support. Permanent closure cannot be undone. Once your Account is permanently closed, you will lose access to your transaction history, wallet balances, and all associated data.
Before proceeding with permanent closure, you should:
• Ensure your Available Balance is at zero, or withdraw any remaining funds to your Nominated Account.
• Complete or cancel any pending transactions, including any active P2P Offers or Requests.
• Download or save any transaction history you may need for your records — you will lose access to your transaction history once your Account is permanently closed.
Upon permanent closure, any remaining Available Balance will be transferred to your Nominated Account within 5 Business Days, unless prevented by law or a regulatory obligation.
Suspension or Closure by Voye
Voye may restrict, suspend, or permanently close your Account immediately, with or without prior notice, in the following circumstances:
• You have failed to provide or maintain adequate KYC documentation.
• We reasonably suspect your Account is being used for money laundering, fraud, terrorism financing, sanctions evasion, or any other financial crime.
• You have provided false, misleading, or incomplete information to Voye at any time.
• You have materially breached this Agreement and have not remedied the breach within a reasonable time of being notified.
• You have been abusive, threatening, or offensive toward Voye staff or representatives.
• A court order, regulatory instruction, or law enforcement direction requires us to do so.
• Continuing to maintain your Account would cause Voye to breach any applicable law or regulation.
• Your Account has been inactive for an extended period and poses a regulatory risk.
Where legally permitted, Voye will notify you of a suspension or closure and the reason for it. In cases involving suspected financial crime, we may be legally prohibited from disclosing the reason.
Recovery of Funds After Closure
If your Account is closed for any reason:
• Any remaining Available Balance will be returned to your Nominated Account, unless legally prevented.
• If we are unable to return funds immediately due to a regulatory hold, dispute, or unresolved investigation, we will notify you and retain the funds securely until the matter is resolved.
• You have up to 6 years from the date of Account closure to contact Voye and claim any funds held on your behalf.
Voye will not be liable for any costs, taxes, or charges that may arise from the closure of your Account.
Complaints and Dispute Resolution
How to Make a Complaint
Voye is committed to resolving complaints fairly and promptly. If you are unhappy with any aspect of our Services, please follow the steps below:
Step 1 — Contact Voye Directly: You can reach us through any of the following channels:
• Email — info@voyeapp.com
• In-App Support — through the support section of the Voye mobile application
Please include your full name, Account details, a description of your complaint, and what outcome you are seeking. We will acknowledge your complaint within 2 Business Days.
Step 2 — Formal Investigation: We will investigate your complaint and provide you with a written response within 15 Business Days. In complex cases, we may require up to 35 Business Days, and will notify you if this is the case.
Step 3 — Escalation: If you are not satisfied with Voye's response, you may escalate your complaint to the relevant regulatory authority for your region:

Governing Law and Jurisdiction
This Agreement and any disputes arising from it are governed as follows, based on your region of residence:
• Canadian Users — This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Disputes will be subject to the non-exclusive jurisdiction of the courts of Alberta, Canada.
• Nigerian Users — Matters relating specifically to NGN payouts and CBN-regulated services are subject to the laws of the Federal Republic of Nigeria. Disputes may be referred to the CBN or appropriate Nigerian courts.
• UK Users — GBP wallet and UK payment services are subject to the laws of England and Wales. Disputes related to UK payment services may be referred to the UK Financial Ombudsman Service before legal proceedings are commenced.
• Kenyan Users — This Agreement, as it relates to KES wallet operations and payment services regulated by the Central Bank of Kenya (CBK), is governed by the laws of the Republic of Kenya. Disputes relating to Kenya-regulated services may be referred to the CBK or the relevant Kenyan courts. Users may also seek recourse through the Kenya Financial Sector Ombudsman (KFSO) before commencing formal legal proceedings.
Nothing in this Agreement prevents Voye from seeking emergency injunctive relief in any jurisdiction to protect its legitimate interests, or from enforcing judgments in multiple jurisdictions where necessary.
Liability and Limitations
Voye's Liability to You
Voye will be liable to you for direct losses arising from its own gross negligence, wilful misconduct, or fraud. Subject to applicable law, Voye's total liability to you in any 12-month period shall not exceed the total value of transactions you have made through Voye in that period.
Voye will not be liable for:
• Indirect, consequential, or incidental losses, including lost profits, business interruption, or loss of opportunity.
• Losses arising from your own error, negligence, or failure to follow Voye's security guidance.
• Losses caused by third parties, including recipient banks, correspondent banks, or mobile money operators.
• Losses arising from events beyond Voye's reasonable control (see Section 10.3).
• Losses arising from Voye's compliance with applicable law, a court order, or a regulatory direction.
• Any failure or delay in performance attributable to your own actions or omissions.
Your Indemnity to Voye
You agree to indemnify and hold harmless Voye, Cede Technologies Inc., and their respective officers, directors, employees, agents, and partners from and against any claims, losses, costs, damages, and expenses (including legal fees) arising from:
• Your breach of this Agreement.
• Your use of the Services for any unlawful or unauthorised purpose.
• False, misleading, or inaccurate information provided by you.
• Your negligence or wilful misconduct.
• Any third-party claim arising from your use of the Services.
Events Beyond Our Control (Force Majeure)
Voye will not be in breach of this Agreement, and will not be liable for any failure or delay in the performance of its obligations, where such failure or delay is caused by circumstances genuinely beyond its reasonable control, including:
• Acts of God, including floods, earthquakes, storms, and fires.
• Government or regulatory action, including new laws, sanctions, currency controls, or court orders.
• War, civil unrest, terrorism, or national emergencies.
• Widespread failures of banking infrastructure, telecommunications, or internet connectivity.
• Actions or failures by third-party partners, including Blaaiz, Clear Junction, or VFD Microfinance Bank, that are outside Voye's reasonable control.
• Strikes, lockouts, or other industrial action affecting financial systems.
In such circumstances, Voye will notify you as soon as reasonably practicable, will make all reasonable efforts to resume normal services, and will ensure your funds remain protected throughout any disruption.
P2P Marketplace — Specific Liability Disclaimer
The following applies specifically to transactions conducted through the P2P Marketplace:
• No guarantee of rates — Voye makes no representation, warranty, or guarantee as to the fairness, accuracy, or competitiveness of any rate posted by a user on the P2P Marketplace. Users transact at rates of their own choosing and bear full responsibility for the rates they agree to.
• No financial advice — nothing on the P2P Marketplace constitutes financial, investment, or foreign exchange advice. Voye is not a financial adviser, investment manager, or currency broker, and the P2P Marketplace should not be treated as such.
• User-to-user transactions — P2P transactions are agreements between individual users. Voye acts solely as the platform operator and escrow agent and is not a party to the exchange agreement between users. Voye's liability in connection with P2P transactions is limited to its obligations as escrow holder and platform operator.
• Escrow limitations — Voye's Escrow Hold is a technical soft-lock on wallet funds. Voye will maintain the Escrow Hold in good faith but will not be liable for losses arising from system outages, technical failures, or circumstances beyond its reasonable control that affect the operation of the escrow mechanism.
• Speculative losses — Voye will not under any circumstances be liable for losses arising from a user's engagement in Speculative Activity on the P2P Marketplace, including losses resulting from adverse exchange rate movements. Users who engage in speculative behaviour do so entirely at their own risk and in breach of this Agreement.
• Counterparty risk — Voye does not verify the intentions or financial standing of P2P Marketplace participants beyond its standard KYC obligations. Users accept the inherent counterparty risk of transacting with other platform users and should exercise their own judgment before agreeing to any P2P transaction.
Intellectual Property
All intellectual property in the Voye platform including the app, website, software, design, branding, logos, text, graphics, and all other content is owned by or licensed to Cede Technologies Inc. and is protected by Canadian, Nigerian, UK, and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Voye app and website solely for the purpose of accessing the Services as a registered user. You may not:
• Copy, reproduce, distribute, or publicly display any part of the Voye platform without Voye's prior written consent.
• Modify, adapt, translate, reverse-engineer, or create derivative works from the Voye platform.
• Use Voye's branding, logos, or trademarks in any manner not expressly authorised by Voye.
• Use any part of the Voye platform for commercial purposes not contemplated by this Agreement.
Any feedback, suggestions, or ideas you provide to Voye may be used by Voye freely and without any obligation to compensate you.
Changes to This Agreement
Voye may update this Agreement from time to time. When we do:
• For material changes including changes to fees, user rights, or how we handle your funds we will give you at least 14 days' notice before the changes take effect, by email or in-app notification.
• For changes required urgently by law, a regulator, or for security reasons changes may take effect immediately, and we will notify you as soon as reasonably practicable.
• For minor, non-material changes, changes may take effect upon posting to the Voye website or app.
If you do not agree with a material change, you may close your Account before the change takes effect, at no charge. Continuing to use Voye's Services after a change takes effect constitutes your acceptance of the updated Agreement.

Electronic Communications
By registering for a Voye Account, you consent to receiving all notices, updates, statements, and communications electronically through the app, by email, or by SMS.
It is your responsibility to ensure that your registered email address and phone number are current and that you are able to receive communications from Voye. Voye accepts no liability for missed communications resulting from outdated contact information.
Transaction receipts, account statements, and regulatory disclosures will be provided electronically and accessible through the app at any time. You may request a paper copy of any document by contacting info@voyeapp.com.
General Provisions
Entire Agreement — This Agreement constitutes the entire agreement between you and Voye with respect to the Services and supersedes all prior agreements, representations, and understandings.
Severability — If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
No Waiver — Voye's failure to enforce any provision of this Agreement on any occasion shall not constitute a waiver of that provision or Voye's right to enforce it in the future.
Assignment — You may not transfer or assign your rights or obligations under this Agreement to any third party. Voye may assign its rights and obligations to an affiliate or successor business, with reasonable notice to you.
Third Parties — This Agreement does not confer any rights on any third party. Our partners (Blaaiz, Clear Junction, VFD) are not parties to this Agreement, though their services form part of the Services we provide.
Language — This Agreement is written in English. In the event of any inconsistency between an English version and any translated version, the English version shall prevail.
